AudioTrellis legal terms
Streaming Terms and Conditions
These Terms govern access to and use of AudioTrellis websites, accounts, software, live transmission tools, radio channels, private invitations, administrative controls, APIs, and related services operated by AudioTrellis.
1. Acceptance and authority
By creating an account, signing in, accessing a channel, using an invitation token, administering a deployment, transmitting audio, or otherwise using AudioTrellis, you agree to these Terms and the then-current notices presented with the Service. If you use the Service for a company, school, venue, broadcaster, government body, household, or other organization, you represent that you have authority to bind it. If you do not agree, do not use the Service.
2. Definitions and the Service's role
- Service means the AudioTrellis software, websites, APIs, channel controls, device connections, and related infrastructure.
- User Content means audio, speech, music, sound recordings, performances, metadata, artwork, messages, names, logos, and other material selected, uploaded, captured, routed, or transmitted by a user.
- Channel Operator means the person or organization controlling a channel, source device, library, microphone, token pool, or audience.
- AudioTrellis acts at the direction of Channel Operators and users. It is not the broadcaster of record, record label, music publisher, performing-rights organization, collecting society, talent agency, content curator, or legal rights-clearance service for User Content.
3. No music catalog, rights bundle, or legal clearance
AudioTrellis does not provide users with music, recordings, programs, or a blanket license to use them. Access to the Service, a channel, a device, an administrator token, or a technical feature grants no copyright, neighboring right, trademark, publicity right, performer right, synchronization right, mechanical right, communication-to-the-public right, public-performance right, or other content license. Any references to songs, artists, genres, radio, podcasts, meetings, or broadcasts describe technical uses only and are not representations that content is licensed.
4. Eligibility, accounts, and organizational responsibility
- You must be legally capable of entering a binding agreement and satisfy applicable age requirements.
- You must provide accurate information, protect credentials and device access, and promptly report suspected compromise.
- You are responsible for your administrators, employees, contractors, guests, invited listeners, source devices, connected endpoints, and activity performed through your account or deployment.
- Accounts, sessions, device credentials, channel permissions, and tokens may not be sold, transferred, or automated except through features expressly provided by AudioTrellis.
5. User Content ownership and responsibility
- As between you and AudioTrellis, you retain the rights you lawfully hold in User Content. AudioTrellis does not claim ownership merely because the Service processes or transmits it.
- You select the source, audience, timing, channel, access conditions, and content. You are solely responsible for reviewing User Content before transmission and for stopping an unauthorized transmission.
- You represent and warrant that you own User Content or have every authorization required to capture, reproduce, encode, adapt for technical delivery, transmit, perform, communicate, distribute, display metadata for, and otherwise use it through the Service.
- You must not rely on another user's possession of a file, subscription, physical recording, stream, or device as proof that public or retransmission rights exist.
6. Limited technical license from users
You grant AudioTrellis and its infrastructure providers a worldwide, non-exclusive, royalty-free, limited license to receive, buffer, encode, transcode, route, cache, make transient or technically necessary copies of, transmit, and present User Content solely as reasonably necessary to operate, secure, diagnose, maintain, and support the Service, comply with law, and enforce these Terms. This license does not transfer ownership and ends when the applicable operational need ends, subject to lawful retention, backups, security records, and unresolved claims.
7. Music, recording, performance, and media licensing
The Channel Operator is solely responsible for determining and obtaining all licenses, consents, reports, and payments required by each territory, audience, use case, and transmission type. Depending on the use, these may include:
- rights in musical compositions and lyrics, sound recordings, live performances, broadcasts, podcasts, audiovisual sound, samples, and artwork;
- public-performance, digital-performance, communication-to-the-public, neighboring, mechanical, reproduction, distribution, synchronization, master-use, ephemeral-recording, and retransmission rights;
- licenses or reporting obligations involving labels, publishers, artists, performers, songwriters, unions, collecting societies, performing-rights organizations, statutory licensing bodies, venues, employers, schools, or other rights holders;
- permissions for voices, personal data, confidential information, publicity rights, trademarks, and recording or monitoring of conversations.
AudioTrellis does not determine whether a transmission is public or private, interactive or noninteractive, commercial or noncommercial, exempt or licensable. A password, private channel, limited audience, household setting, ownership of a copy, or payment for a consumer music subscription does not necessarily eliminate licensing obligations.
8. Live speech, meetings, microphones, and recording consent
You must provide notices and obtain consents required for microphones, calls, meetings, interviews, workplace monitoring, classroom use, surveillance, recordings, and retransmissions. You must not capture confidential, privileged, medical, financial, educational, biometric, or personal information unless you have a lawful basis and appropriate safeguards. AudioTrellis is not responsible for statements made by speakers or participants.
9. Copyright and rights-holder complaints
We may disable a channel, interrupt a transmission, preserve relevant records, restrict an account, or remove access when we receive a credible infringement notice or otherwise obtain knowledge of unlawful material. A notice should identify the protected work, the allegedly infringing material or transmission and its location or channel, the complainant's contact information, a good-faith statement that the use is unauthorized, a statement that the information is accurate and that the complainant is authorized to act, and a physical or electronic signature. Notices must be sent through the official copyright or legal contact published by AudioTrellis. False or abusive notices may create liability.
10. Counter-notices and restoration
Where applicable, an affected user may submit a valid counter-notice identifying the removed or disabled material, its former location, contact details, a statement under penalty of perjury that removal resulted from mistake or misidentification, consent to the legally required jurisdiction and service of process, and a signature. We may forward the counter-notice to the claimant and restore access when legally permitted. We may decline restoration when another legal, safety, contractual, or security basis supports restriction.
11. Repeat infringement and rights enforcement
We may maintain and reasonably enforce a policy for terminating or restricting repeat infringers and users who repeatedly transmit unauthorized material. We may consider valid notices, counter-notices, court orders, admissions, account relationships, evasion, and other reliable information. Users may not create new accounts, rotate devices, or use tokens to evade a restriction. We do not waive any safe harbor, immunity, defense, or limitation available under applicable law.
12. No duty to pre-screen; cooperation
We are not obligated to monitor, identify, fingerprint, review, or approve User Content before transmission, and our failure to do so is not approval or endorsement. We may use automated or manual measures to investigate abuse, respond to notices, comply with legal process, protect rights and infrastructure, and prevent repeated violations. You must reasonably cooperate with investigations concerning your channels, sources, tokens, users, or content.
13. Acceptable use
You may not use AudioTrellis to violate law or rights; transmit infringing or unauthorized material; distribute malware; evade access controls; scrape or overload systems; impersonate others; harass, exploit, threaten, or defraud; publish unlawful, deceptive, hateful, or sexually exploitative content; conduct unauthorized surveillance; interfere with communications or emergency systems; or reverse engineer except where law expressly permits. You may not market AudioTrellis as a certified life-safety, emergency-alert, medical, financial, legal, or regulated broadcasting system unless expressly agreed in writing.
14. Private channels, invitations, and administrator tokens
- Private-channel tokens are credentials bound to a specific channel. Keep them confidential and share them only with intended recipients.
- Token issuance, sharing, account claims, releases, revocations, active-device changes, and attribution may be logged. A claimed private-channel token is bound to the signed-in listener account. Multiple authenticated receiver devices may be active, but they share the account's single selected channel.
- A token does not create ownership, a content license, or guaranteed access. Access may expire or be revoked.
- You are responsible for invited recipients and must not use tokens to bypass limits, restrictions, payment requirements, copyright enforcement, or account controls.
15. Account telemetry, service improvement, devices, and location
Detailed product and research telemetry is associated with authenticated listener or administrator accounts rather than anonymous public visitors. By creating an account, signing in, and using the Service, you acknowledge that AudioTrellis may collect and process account and session identifiers, device identifiers, IP addresses, browser and operating-system details, network characteristics, page and feature interactions, channel selections, playback state, listening duration, stream startup and recovery timing, latency, packet loss, buffer events, PA output measurements, errors, security events, and related diagnostics to provide, secure, support, evaluate, develop, and improve the Service.
AudioTrellis may request precise browser location for authenticated service measurement, regional performance evaluation, device support, fraud prevention, and PA research. The browser controls this permission and may allow or deny it. When granted, records may include latitude, longitude, reported accuracy, altitude, heading, speed, and capture time. Location can be unavailable, approximate, stale, or inaccurate. Where applicable law requires a separate permission, notice, limitation right, or other choice, that requirement remains controlling.
AudioTrellis does not collect raw microphone recordings, PCM audio, passwords, authentication secrets, or unrelated browsing history as R&D telemetry. Authorized administrators may review account, device, location, activity, performance, and security records needed to operate their deployment. Retention, access, deletion, and disclosure remain subject to applicable law, contractual commitments, and published service notices.
16. Security, monitoring, and research records
We may use automated and manual measures to prevent abuse, enforce limits, investigate incidents, preserve evidence, analyze reliability, compare device and regional performance, validate streaming and PA behavior, comply with law, and protect users and infrastructure. Operational, security, performance, and R&D records may be stored in structured databases and rotating diagnostic files and may be reviewed through authenticated administrative tools. You must not test, scan, probe, or exploit the Service without prior written authorization. No security measure is perfect; you are responsible for endpoint security, network controls, access reviews, backups, and contingency plans.
17. Content handling, transient processing, and no archival promise
AudioTrellis is not intended to be a permanent media-storage, preservation, or backup service. Except for user-controlled local libraries, transient buffers, caches, encrypted operational records, diagnostics, lawful evidence preservation, and technical copies necessary for delivery or recovery, the Service is designed around live or user-directed transmission rather than a provider-supplied media repository. Content or metadata may be lost, overwritten, interrupted, or unavailable. Maintain your own lawful originals and backups.
18. Availability, performance, and third-party services
The Service may depend on browsers, operating systems, networks, hosting providers, databases, certificates, codecs, tunnels, content-delivery networks, and other third-party services. We do not guarantee uninterrupted, synchronized, lossless, latency-free, secure, or error-free audio. Maintenance, congestion, device power settings, permissions, network conditions, and third-party failures may affect operation.
19. Fees and taxes
If paid features are offered, prices, billing periods, limits, renewal terms, and refund rules will be disclosed at purchase. You authorize applicable charges and are responsible for taxes other than taxes based on our net income. Payment for the Service does not include music, media, royalty, collecting-society, or other third-party licensing fees unless a signed order expressly says so.
20. Feedback and platform intellectual property
Subject to these Terms, we grant a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose. No source code, architecture, algorithm, design, trademark, or platform intellectual-property right is transferred. If you provide feedback, you permit us to use it without restriction or compensation, provided we do not identify you publicly without permission.
21. Suspension and termination
We may suspend, restrict, or terminate accounts, channels, tokens, devices, or transmissions for security risk, nonpayment, legal process, infringement claims, repeated violations, harm to others, emergency maintenance, or protection of the Service. Where practical, we may provide notice and an opportunity to cure. Provisions that by their nature should survive will survive termination.
22. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AVAILABILITY, SECURITY, AND RESULTS. WE DO NOT WARRANT THAT USER CONTENT IS AUTHORIZED, THAT A PRIVATE CHANNEL IS LEGALLY PRIVATE, THAT A TRANSMISSION IS LICENSE-EXEMPT, OR THAT AUDIO WILL BE CONTINUOUS, SYNCHRONIZED, COMPLETE, ERROR-FREE, OR SUITABLE FOR SAFETY-CRITICAL USE.
23. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUDIOTRELLIS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, CONTENT, AUDIENCE, OR BUSINESS; ROYALTIES OR LICENSE FEES OWED BY A USER; CLAIMS BY ARTISTS, PERFORMERS, LABELS, PUBLISHERS, COLLECTING SOCIETIES, OR OTHER RIGHTS HOLDERS; SERVICE INTERRUPTION; DEVICE OR NETWORK FAILURE; OR UNAUTHORIZED ACCESS, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY ARISING FROM THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR USD $100. Some jurisdictions do not allow certain exclusions, so they apply only to the extent permitted.
24. Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless AudioTrellis and its affiliates, officers, employees, contractors, infrastructure providers, and licensors from claims, demands, proceedings, damages, royalties, license fees, settlements, losses, liabilities, and reasonable legal costs arising from or relating to your User Content, broadcasts, recordings, audience, invitations, failure to obtain licenses or consent, violation of these Terms, violation of law, or infringement of third-party rights. This includes claims by artists, performers, songwriters, producers, labels, publishers, performing-rights organizations, collecting societies, broadcasters, unions, venues, participants, and privacy or publicity-right holders. This obligation does not apply to the extent a final decision determines that a claim resulted solely from our willful misconduct, or where prohibited by law.
25. Disputes and governing law
Before filing a formal claim, the parties agree to attempt in good faith to resolve the dispute through written notice and a 30-day informal-resolution period. Governing law, venue, arbitration, class-action waiver, and consumer-right provisions must be applied as stated in the jurisdiction-specific legal notice or signed order for the account. Mandatory consumer protections remain unaffected.
26. Export, sanctions, and legal compliance
You may not use or export the Service in violation of applicable export controls, sanctions, anti-corruption, telecommunications, broadcasting, copyright, privacy, or other laws. You represent that you are not prohibited from receiving the Service.
27. Changes to these Terms
We may update these Terms to reflect product, legal, security, or business changes. The effective date and version will be updated. Material changes may be presented through the Service or another reasonable notice. We will not rely on a hidden retroactive change to take rights already promised where applicable law requires notice or renewed consent.
28. General terms
These Terms and incorporated notices are the entire agreement regarding the Service unless a signed agreement states otherwise. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder will remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, reorganization, financing, or transfer of the Service. Headings are for convenience only.
29. Contact and legal notices
Questions, copyright notices, counter-notices, legal process, and security reports must be submitted through the current official legal or support contact published by AudioTrellis or AudioTrellis. Do not send passwords, private tokens, or unnecessary sensitive information. A claimant remains responsible for satisfying all legal notice requirements.
